Our Services

TMS sets up and operates AI tools for businesses. The specific service, price, billing frequency, and any cancellation terms are shown when you order or in the written proposal you accept, and form part of these Terms. Services begin after setup is completed and verified.

AI tools can make mistakes. Our agents answer from business information that you approve, and questions outside that information are passed to a person. You are responsible for the accuracy of the information you give us to use and for reviewing it before it goes live.

SMS Terms

Text messaging is governed by our SMS Terms. In summary:

• SMS consent and phone numbers collected by TMS Solutions Group LLC will not be shared with third parties or affiliates for marketing or promotional purposes
• Message frequency varies based on your service activity and requests
• Reply STOP to unsubscribe from SMS messages at any time. After opting out, you will receive a one-time confirmation message and no further SMS messages will be sent
• Reply HELP for assistance, or contact us directly at [email protected]
• Message and data rates may apply. Contact your mobile carrier for details about your plan
• Carriers are not liable for delayed or undelivered messages
• SMS consent is not required as a condition of purchasing any goods or services from TMS Solutions Group LLC

Business Customers Who Message Their Own Customers

If you use a TMS service to send messages to your customers, you are the sender and you agree to send only to people who have given you the required consent, to honor opt-outs, and to provide accurate business information for any carrier registration that applies. Text messaging for your business begins only after any required registration is approved and setup is verified. We may pause messaging that does not meet carrier rules or the law.

Acceptable Use

By accessing or using our website and services, you agree that you will not:

• Use our services for any unlawful purpose or in violation of any applicable local, state, or federal regulations
• Send messages to people who have not consented, or use purchased contact lists for text messaging
• Attempt to gain unauthorized access to any portion of our website or systems
• Transmit any content that is harmful, fraudulent, deceptive, threatening, or abusive
• Interfere with or disrupt the integrity or performance of our website or services
• Impersonate any person or entity or falsely represent your affiliation with any person or entity
• Use automated tools to scrape, crawl, or collect data from our website without prior written permission

TMS Solutions Group LLC reserves the right to suspend or terminate access to any user who violates these terms.

Limitation of Liability

To the fullest extent permitted by applicable law, TMS Solutions Group LLC, its members, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) our website or services
• Any conduct or content of third parties on or through our services
• Unauthorized access, use, or alteration of your transmissions or content
• Delays or failures in SMS message delivery due to carrier issues or network conditions

In no event shall our total liability to you exceed the greater of one hundred dollars ($100) or the amounts paid by you to TMS Solutions Group LLC in the twelve months prior to the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

Any disputes arising out of or related to these Terms or your use of our services shall be resolved exclusively in the state or federal courts located in Flagler County, Florida, and you consent to the personal jurisdiction of such courts.

Changes to These Terms

We may update these Terms. The date at the top shows when they were last changed. Continued use of the website or services after a change means you accept the updated Terms.
